Omer Faruk Hansu is Founding and Managing Partner of Hansu Attorney Partnership. Over more than 25 years in practice he has advised and represented domestic and international companies, investors, project developers, financial institutions and public bodies on investments, projects and commercial activity in Turkey.
At the centre of his practice are real estate, zoning, construction, energy, infrastructure and project development. He acts at the different legal stages of large-scale and regulated investments, from land acquisition and site selection through zoning and expropriation; from regulatory permits to the design of project and contract structures; and from development through financing, implementation and commissioning.
Hansu has long experience in the establishment and development of organised industrial zones, free zones and special investment areas. At stages from establishment, land development, planning, expropriation, infrastructure, permits and licensing through to commissioning, he has advised and represented both private-sector investors and the public side.
Energy and infrastructure form another important axis of his practice. He has represented international investors in high-volume energy investments and privatisation processes in Turkey, and has managed legal due diligence, tender, project-development, licensing, M&A and investment-documentation work. His experience extends from large-scale power plants, including generation projects exceeding 1,000 MW, to renewable-energy investments and the manufacturing and supply chain for energy equipment.
His infrastructure and regulatory experience also covers telecommunications and digital-infrastructure projects. On a project involving a fibre-optic crossing of the Bosphorus he has acted on strategic permits, rights of way and electronic-communications authorisations before the Ministry of Transport and the Information and Communication Technologies Authority (BTK).
His real-estate and project-development practice covers commercial and mixed-use real-estate projects, hospitals and healthcare investments, hotels and tourism facilities, industrial and manufacturing plants, energy projects, water resources and water-production facilities, and infrastructure investments.
In recent years he has extended that real-asset and project-development experience into the legal fields where it intersects with capital markets, portfolio management companies, investment funds and financing structures. He works on converting real-estate, energy, infrastructure, healthcare and industrial investments into investable legal structures; on forming suitable company, partnership and fund vehicles; on designing the legal relationships among project companies, investors, portfolio managers and financiers; and on putting in place the contractual and corporate framework needed for access to finance.
Work relating to the Istanbul Financial Centre and Turkey's developing financial ecosystem is part of this practice. He works on the legal and regulatory structures for the positioning of financial institutions, portfolio management companies, investment funds and other market participants in the Istanbul Financial Centre ecosystem, and contributes from a private-sector perspective to Turkey's development as an international financial centre.
Throughout his career he has advised leading international companies and large-scale Turkish companies, and on cross-border transactions has worked with international law firms and financial and technical advisers to manage the Turkish-law aspects of the deal. Hansu has for many years continued cross-border work between England and Turkey, and has for more than five years been registered as a foreign lawyer with the Solicitors Regulation Authority (SRA) of England & Wales.
Hansu's approach is to focus not on a single legal issue in an investment, but on its legal architecture: land, project, corporate structure, capital, financing, contracts, public law and regulation, assessed together.
