Burcu Dalyan Aydin is a Managing Associate at Hansu Attorney Partnership. She advises and represents domestic and international companies in employment and social security law, corporate and commercial law, construction and real estate law, and dispute resolution.
At the centre of her practice is putting in place the legal framework for companies' employment relationships and managing workplace risk from day-to-day human resources processes through to collective labour relations. She advises clients on the drafting, review and negotiation of employment contracts, non-compete and confidentiality agreements, and collective bargaining agreements.
In individual and collective employment disputes she conducts mediation and litigation, representing clients across a wide portfolio: from employee claims and reinstatement actions to compensation claims arising from workplace accidents and occupational disease, from union compensation and disputes over the interpretation of collective agreements to Social Security Institution recourse actions and service- and wage-determination cases.
Trade-union organisation and collective labour relations form a substantial part of her employment practice. She advises on the scope of employee and employer rights in the course of union organisation and on disputes arising from the exercise of those rights, and follows claims for union compensation and disputes concerning the application and interpretation of collective bargaining agreements.
In corporate and commercial law she advises on post-incorporation governance and decision-making and on shareholder relations. She drafts articles of association and shareholders' agreements, handles amendments to the articles, ordinary and extraordinary general meetings, capital increases and reductions, board processes, share transfers, and the negotiation and drafting of share purchase and sale agreements.
Her commercial-contracts work covers the preparation and review of the contractual framework companies need in the course of their operations, including sale, services, dealership, supply, distribution, distributor, settlement and release agreements. She acts for domestic and international clients in sectors including food, cosmetics and consumer products, energy, construction, healthcare and medical devices, and petroleum and lubricants.
In real estate and construction she drafts commercial and other real-estate leases and conducts rent-determination, adaptation and eviction actions, as well as disputes arising from ownership and other real and personal rights and from condominium law.
Before joining Hansu Attorney Partnership she advised and represented domestic and international companies in heavy industry, construction, pharmaceuticals, healthcare, textiles, software and food, gaining experience particularly in employment and social security law, trade-union and collective-bargaining law, construction and real estate law, commercial law and corporate law.
