Omer Faruk Engel advises and represents domestic and international companies at Hansu Attorney Partnership in project finance, energy, capital markets, construction and infrastructure projects, corporate and commercial law, contracts, data protection and dispute resolution. He is a lawyer in Türkiye and a Solicitor (non-practising) of England & Wales.
A substantial part of his practice is the development and financing of energy and infrastructure projects. On solar and wind investments he drafts and negotiates EPC and operation and maintenance contracts; assesses project documentation from a bankability perspective; structures risk allocation; and provides legal management of unlicensed generation, grid connection, commissioning and administrative permitting processes.
In project finance transactions, acting for borrowers and sponsors, he has experience reviewing international market-standard facility agreements and assessing financing terms, and structuring and negotiating escrow arrangements, guarantee structures and finance intermediary agreements. In earlier work he advised on cross-border financing and investment transactions in the Middle East, Africa and Europe, and on the syndication of international construction and infrastructure projects, assessing facility agreements, security packages and guarantee structures together with the FIDIC contractual architecture.
FIDIC standard forms occupy a particular place in his construction and project contracts practice. He completed his master's thesis at Galatasaray University on “Liability for Delay under FIDIC Contracts”, subsequently published as a book. In practice he advises on extensions of time, delay damages, taking-over and passing of risk, availability guarantees, limitation of liability and the contractual allocation of project risk.
His capital markets and corporate work covers reviewing and preparing establishment and issuance filings for investment funds, assessing public companies' disclosure and material-event reporting obligations, managing shareholder rights and general assembly processes, board resolutions, representation structures, share transfers, and legal due diligence on companies and real estate.
In commercial contracting he drafts, reviews and negotiates supply and manufacturing, consultancy and services agreements and related side protocols, focusing on risk allocation, liability regimes and workable contractual mechanics tailored to the structure of the commercial relationship.
In data protection he holds the CIPP/E credential awarded by the International Association of Privacy Professionals. He advises clients on compliance under Law No. 6698 on the Protection of Personal Data and the EU General Data Protection Regulation (GDPR), including the assessment of personal data breach notifications.
In dispute resolution he combines risk analysis and contractual drafting aimed at preventing disputes at the contracting stage with representation of clients before administrative courts and commercial courts. He also advises on strategy and roadmaps for disputes arising under contracts governed by foreign law and subject to ICC arbitration.
Before joining Hansu Attorney Partnership he spent four years as a lawyer (grade B3) at the European Court of Human Rights within the Council of Europe, reviewing applications concerning in particular the right to property. During that period he worked on files arising from expropriation, banking and capital markets regulation, and public procurement disputes.
Engel's approach is to assess a project's commercial objectives, financing structure, contractual risk allocation, regulatory issues and dispute risk together, so that the investment is placed on a legal structure that is both workable and bankable.
