Nazli Deniz Abban advises and represents domestic and international companies at Hansu Attorney Partnership in corporate and commercial law, capital markets law, contract law, transportation and logistics law, tax law and dispute resolution.
Her practice is centred on building the legal infrastructure of companies' corporate structures and commercial relationships. She supports clients on drafting articles of association and shareholders' agreements, share transfers, ordinary and extraordinary general assembly processes, advice on board work, capital increases and decreases, and the regulation of shareholder relationships.
In mergers and acquisitions she is involved in legal review and transaction processes, contributing to the preparation of legal due diligence reports and to the contractual infrastructure for company and share transfers. For family companies, the preparation of family constitutions also forms part of her corporate practice.
Her commercial-contracts work covers drafting and reviewing the agreements companies need in the course of their activities — in particular sale, services, dealership, distributorship, franchise, works and manufacturing contracts — as well as preparing legal opinions and reports. She acts for domestic and international clients in sectors including food, cosmetics and consumer products, energy, construction, healthcare and medical devices, and petroleum and lubricants.
In transportation and logistics she reviews carriage and logistics contracts and advises on liability disputes arising from loss of, damage to or delay of cargo, on freight and demurrage claims, and on insurance recourse actions.
Having completed her master's research in corporate law on additional payment and ancillary performance obligations in limited liability companies, Abban has extended her academic work into capital markets law. She continues that research in the PhD Programme in Private Law at Istanbul University.
Before joining Hansu Attorney Partnership she provided advisory and litigation support to domestic and international companies in heavy industry, construction, pharmaceuticals, healthcare, textiles, software and food, gaining experience particularly in corporate law, commercial law and contract law.
Abban's approach is to assess a company's corporate structure, shareholder relationships, commercial contracts and transaction-related legal risks together, and to design a legal structure that is aligned with the company's commercial objectives, workable and sustainable.
