A substantial part of her practice is managing the day-to-day legal needs of companies in heavily regulated sectors in an integrated way. In particular in cosmetics, dermo-cosmetics and food supplements, she addresses commercial contracts, advertising and consumer regulation, data protection, corporate law, employment law and competition law together.
She provides ongoing legal counsel to the Turkish cosmetics and dermo-cosmetics company of a France-based international group, and to one of the leading companies in the food-supplements sector. That work focuses on putting in place the contractual and regulatory framework for commercial activity, identifying legislative risk in advance, and keeping day-to-day operations compliant.
Her commercial and corporate practice covers the drafting, review and negotiation of sale, supply, manufacturing, services and distribution agreements, as well as general meetings, capital transactions, amendments to the articles of association, share transfers and other corporate processes. She works on structuring contractual relationships in line with companies' operational objectives, taking commercial risk into account.
In competition and regulatory law she advises on the review of commercial activity and contracts under competition law, on internal compliance processes, and on the conformity of advertising, promotion and consumer-facing commercial practices with applicable legislation. She works to identify at an early stage risks that may arise before regulatory authorities.
In employment law she advises employer clients on employee relations, workplace practices, disciplinary processes, the drafting and termination of employment contracts, and employee claims. In commercial and employment disputes she acts at different stages, from risk analysis and strategy through notices, mediation, litigation and enforcement, to representation before the courts.
Carriage and logistics is another important axis of her sector experience. She has served as in-house counsel at one of Turkey's leading logistics companies and has advised one of the leading companies in Ro-Ro shipping on competition, employment and commercial law and on contracts. She has also worked on disputes arising from maritime law and sea carriage.
Danabay's approach is to develop practical, preventive legal solutions by assessing commercial objectives together with contract, regulatory, competition, employment and dispute risks.
